Talk2Docs Terms of Service

Effective date: August 8, 2025

These Terms of Service ("Terms") are a contract between Talk2Docs LLC ("Talk2Docs," "we," "us," or "our") and you ("you" or "User"). They govern your access to and use of the Talk2Docs website, apps, and related services (the "Service").

By creating an account, clicking "I agree," or using the Service, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy, and DMCA Policy (together, the "Policies"). If you do not agree, do not use the Service.

2) Eligibility

You must be at least 18 years old to use the Service. You represent and warrant that you have the authority to agree to these Terms and that you will comply with them.

3) Your account

You're responsible for your account's security and all activity under it. Keep your credentials confidential and notify us immediately of unauthorized use.

4) Description of the Service

Talk2Docs lets authenticated users upload documents and URLs, import podcast transcripts from supported podcasts, generate AI-assisted summaries, and chat with their content using a retrieval-augmented generation (RAG) system. We may change or discontinue features at any time.

5) Your content; license to us

  • Ownership. You retain ownership of the content you upload or submit ("User Content").
  • License. You grant Talk2Docs a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and otherwise use User Content solely to provide, maintain, secure, and improve the Service, including with our subprocessors listed in the Privacy Policy.
  • Model training. We do not use your User Content to train third-party foundation models. We instruct our providers not to use your data for training to the extent we can control those settings.
  • Responsibility. You're responsible for User Content and for obtaining all necessary rights to upload it. Do not upload content you're not allowed to share. See the Acceptable Use Policy.

6) AI outputs; no professional advice

AI-generated outputs may be inaccurate or unsafe. Outputs are provided for informational purposes only, without warranties, and are not a substitute for professional advice (including medical, legal, financial, or safety advice). You must independently verify outputs and you are solely responsible for your use of them.

6.5) Podcast Transcript Terms

When importing podcast transcripts:

  • Transcripts are provided via Taddy API, a licensed third-party service
  • You may only use transcripts for personal, non-commercial purposes
  • You may not redistribute, resell, or publicly share podcast transcripts
  • Original podcast content remains property of the respective creators
  • We may cache transcripts to improve service performance
  • Transcripts may be removed upon request from rights holders
  • By importing podcasts, you agree to Taddy's terms at https://taddy.org/terms

7) Prohibited uses

You must comply with our Acceptable Use Policy. We may suspend or terminate access for violations.

8) Third-party services

The Service integrates third-party services (e.g., authentication, storage, payments, model providers). Their terms may apply, and we are not responsible for their acts or omissions.

9) Feedback

If you send ideas or suggestions, you grant Talk2Docs a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

10) Security; disclosure policy

We take reasonable measures to protect the Service but no system is 100% secure. If you discover a vulnerability, please email security@talk2docs.ai. Do not publicly disclose until we've had a reasonable chance to address it.

11) Copyright; DMCA

We respect IP rights and respond to notices under the DMCA. See our DMCA Policy for how to send notices and counter-notices. We may disable or terminate accounts of repeat infringers.

12) Paid features (if any)

If you purchase paid features, you agree to the pricing, billing, taxes, and refund terms shown at checkout. Unless stated otherwise, fees are non-refundable, except as required by law.

13) Subscriptions and Auto-Renew (if applicable)

If you purchase a subscription, it will auto-renew at the then-current rate at the end of each term unless you cancel before renewal. You can cancel in your account settings, effective at the end of the current term. Fees are non-refundable except as required by law.

14) Beta and Labs Features

From time to time we may offer features labeled "Beta" or "Labs." These are provided AS IS, may be modified or discontinued at any time, and may have reduced or no support or availability commitments.

15) Availability, Backups, and Disaster Recovery

We aim for reliable Service but do not guarantee uninterrupted operation or that content will always be available. You are responsible for maintaining your own backups of important content. We may maintain backups for our own continuity purposes but do not provide data-recovery guarantees.

16) Data Processing Addendum

If you require a data processing addendum (including EU/UK Standard Contractual Clauses), contact legal@talk2docs.ai. Where applicable, the DPA will govern our processing of personal data on your behalf.

17) Warranty disclaimer

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

18) Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TALK2DOCS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THAT PERIOD OR (B) USD $100 IF YOU USE ONLY FREE FEATURES. THIS CAP DOES NOT APPLY TO OUR WILLFUL MISCONDUCT OR INTENTIONAL VIOLATIONS OF LAW.

19) Indemnification

You will defend, indemnify, and hold harmless Talk2Docs from and against any third-party claim, damage, liability, cost, and expense (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your violation of the Terms or the Policies; or (c) your violation of law or third-party rights.

20) Suspension/termination

We may suspend or terminate the Service or your account at any time (e.g., for AUP violations, legal risk, non-payment). You may stop using the Service at any time. Sections that by their nature should survive termination will survive (including §§5–8 and 17–25).

21) Changes to the Terms

We may change these Terms. If we make material changes, we'll notify you in-app or by email at least 30 days before the new Terms take effect. Your continued use after the effective date constitutes acceptance.

22) Governing law; venue

These Terms are governed by the laws of the State of Texas, excluding its conflicts rules. Subject to §23 (Arbitration), the exclusive venue for disputes is the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction there.

23) Dispute resolution; arbitration; class-action waiver

Binding arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Either party may bring an individual claim in small-claims court in Travis County, Texas (or where you live or work). Either party may seek temporary injunctive relief in court to protect IP or Service access. Class waiver. Disputes must be brought only on an individual basis; class, collective, representative, or mass actions are not allowed. Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@talk2docs.ai with subject "Arbitration Opt-out" and your account email. Location & fees. The seat of arbitration is Austin, Texas, and proceedings may occur by video/phone or submissions. We will pay arbitration filing/administrative fees as required by the AAA Consumer Rules.

24) Export & sanctions

You represent that you are not located in, under the control of, or a national/resident of any restricted jurisdiction or on any U.S. government denied-party list. You agree to comply with applicable export and sanctions laws.

25) Miscellaneous

These Terms are the entire agreement between you and Talk2Docs regarding the Service. We may assign these Terms without restriction; you may not assign them without our prior written consent. If a provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver.
